goetzpartners advised Liberta Partners with strategic advisory services on the acquisition of and synergy creation between KKS Kemmler Kopier Systeme GmbH ("KKS") and Systemhaus Bissinger GmbH ("Bissinger"), two regionally leading IT and print service providers.

The project approach was entirely tailored to the situation's specific circumstances and reflected the companies' current and envisaged strategic positioning. We analyzed both business models' existing core business activities and sustainability with a thorough review of financial and non-financial KPIs. In addition, we evaluated the market and competitive environment, including COVID-19 effects and competitors' strategic moves. Since both companies execute market entry strategies into new IT application and service segments such as document management solutions and cyber security, we reviewed the expansion of their portfolios on the basis of evolving customer requirements, implied changes in their respective market and competitive environment, and arrived at an indication of both companies' right to win in these new market segments. Due to the unique situation, a scenario-based assessment of synergy potentials especially in the area of cross-selling quantified a key element of Liberta Partners' investment rationale and provided an outline of required steps to realize these potentials. Finally, we also analyzed the strategic buy-and-build potential which may be another essential growth pillar for Liberta Partners.
